April 27, 2026 (Wilsonville, OR) — Columbia Distributing and Republic National Distributing Company (RNDC) today announced that they have entered into a non-binding letter of intent outlining proposed terms for Columbia to acquire certain wine and spirits distribution rights in Oregon and Washington, along with an asset arrangement in Alaska that would support a potential expansion of its Pacific Northwest footprint.
The LOI represents a continued evolution of Columbia’s total beverage strategy, with a focus on building scale, strengthening partnerships, and delivering best-in-class service across its markets.
“We’re thrilled about this next step for Columbia,” said Chris Steffanci, Chief Executive Officer of Columbia Distributing. “This LOI allows us to continue expanding our total beverage distribution model with the right strategic spirit and wine partners that complement our growth model. It’s rooted in our people and our brands—and that will continue to be our focus as we move forward.”
The transaction is designed to support long-term continuity for suppliers and customers, while expanding Columbia’s geographic reach and operational capabilities. It further positions Columbia to provide a seamless, multi-state route to market—giving suppliers a more efficient path to scale, stronger market presence, and consistent execution across the region.
“This builds directly on our strategic plan,” Steffanci added. “We are expanding our capacity and geographic footprint in a methodical and thoughtful way—while maintaining a strong commitment to supplier and customer continuity. Our goal is to create more opportunities for the brands we represent and the customers we serve.”
RNDC leadership emphasized their commitment to a smooth transition.
“Our priority remains ensuring continuity for our suppliers, customers, and employees throughout this transition,” said Marc Sachs, President and CEO of RNDC.
“Columbia Distributing brings a well-established route to market and total beverage approach. We’re confident in their ability to serve these markets at a high level and are committed to working closely with their team to support a seamless process.”
The transaction is subject to customary closing conditions and regulatory approvals.
